Regular The regular meeting of the Board of Directors of the Meeting May 18, Carlsbad Eutual Water Company was held in the office of 1954 the Conpany in the City of Carlsbad, County of San

Also present were C, E, Trygg, Secretary, and Attorney Ray Eberhard.
Vice President Ingels called the meeting to order.
The meeting was then recessed while the Directors went to Oceanside
for a meeting with the Special Committee of the City Coupcil of
Oceanside
The Board meeting was reconvened at 2t00 P- Dli.
Present at the reconvened meeting .were also Charles W. Thorns,
Flood Control Engineer of San Diego County, Nr. Parry of the San
Diego Union and Maribee Balcom, stenographer.

Discussion was then held on the offer of Oceanside Connection to Oceanside High to transport water through its facilities at a cost of Pressure Line
$5,00 per acre foot, subject to the following terms:
(1) That Oceanside in no way be deprived of water.
(2) That every precaution be taken with safety devices so that no undue pressure be placed
UPOD the South Oceanside grid or any other section of the Oceanside water transmission system,
(3) That the point of take off be near the juxtaposition of the Carlsbad Xutual and Oceanside systems in the vicinity of California and.Hunsaker Streets fn Oceanside.
(4) That the cost of the fittings, meters, pressure valves, connections, etc. be borne by the City of Oceanside and .the pipe line between the pressure valves and the Carlsbad BlEutual lines be borne by the Carlsbad Nmicipal Water District. That the City of Oceanside be reimbursed for the expense of the fittings, metem, valves, etc. through payment of the transmission charge,
subject to renewal for one yeart providing that the Carlsbad HmicipaL Water District has at the end of the first year let a con- tract for construction of a separate line to the Aqueduct.
(6) That the Carlsbad Bunicipal Water District pay to. the City of Oceanside for the use of' the high pressure line a rate of $5.00 per acre foot for such water passing through that line to the Carlsbad Nutual Water' Company line e
(5) That the coQtract be for a period of one year

The matter of the necessary chlorination of the water Chlorination
was also discussed. General Rogers stated that he thought the
Oceanside connection would allow- a reasonable amount of water,
probably averaging 6 acre feet per dag. Nr* Trygg then explained
to the Board that this average figure does not mean that the mount
of water available to the Company will be 6 acre feet during periods
when the most water is needed. Therefore thought should be given

to additional reservoir facilities and the operation of the Lake in
order that we may attempt to maintain constant quantity and
quality of water for our shareholders. The proposed connection
with Oceanside should prove valuable In case of emergencies as
we would then be able to transport water from one system to the
other, but it should be emphasized that these connections are only
temporary and are not a solution for getting Hetropokitan water
to the Mutual area and blending it with the local waters. Due to
the uncertainty of the flow, the quality of water received by the
shareholder in Carlsbad will vary from day to day and from hour
to hour, depending upon the amount of Netropolitan water received.

mously:
54-61 BE, IT RESOLVED that the Manager is hereby authorized and directed to proceed to work out all the necessary agreements with Oceanside for approval of the Board and of our attorneys in the matter of the connection at Hmsaker and California, and also at Yucca, to the high pressure. line of the City of Oceanside; and
BE IT FURTHER RESOLVED that the Manager is authorized and directed to immediately make the necessary expen- ditures and to install the pipe,> fittings, valves, etc. as required for these connections.
C,pI',Thornas Vice President Ingels then asked BBr. Charles W. talks on
Flood Control floor, He discussed the proposed legislation and
county Thomas, County Flood Control Engineer, to take the
functions of the proposed Division, He answered the
questions presented by the various Directors, and requested that
they submit their suggestions to him, It was pointed out that
the new proposed legislation provided for District Improvement
areas to be set up, rather than taxing agencies for the entire
Cowlty. Xr. Thomas thanked the Board for their time and interest.
Mr. Thomas then left the meeting.

Mr. Eberhard then,-took the floor and stated that San Luis Reg

Attorney Phil Swing, Engineer Harold Conkling, and the
attorney for the Board of IVater Resources had been in touch
with him. There remains $111,000 in the Division of Water Resources
funds for water study within the next two weeks, or it will revest
to the General Fund of the State. It is proposed to use this
money for a suwey in the San Luis Rey River. In this ease, such
funds would have to be met by matching funds from local interested
parties. &. Eberhard explained that the survey aould provide
fundamental information needed for the proposed adjudication Qf
the river. Inasmuch as the costs of the adjudication of the
river will be borne by all parties concerned, it was recommended
that the Company be prepared to contribute approxfnrately 1/4 of
the matchixg funds as a maximum, ;W. 1. Rogers suggested that if.
we could be sure three other agencies would join with us and thus
divide the expenset that it night be worth while to go up to
Sacramento and discuss the matter with the Board. Hr. Eberhard
was directed by our Board to contact other interested agencies
and attempt to arrange the necessary comritments. At the sug-
gestion of the Board$ &. Eberhard then left the meeting to
telephone Mr. Swing

Main The bdianager then stated that the main line between the Line Buena Vista Lagoon and Reservoir #2 is in poor condition
and will probably not stand the additional pressure which will occur
when Metropolitan Water is received fromthe Oceanside high pressure
line. In our report of necessary improvements (submitted to the
Pacific Xutual Life Insurance Company) there is an item of $9973.
to clean and cement line, this portion of the main line. The Nanager
explained that the rehabilitation of this pipeline would necessitate
cutting off the major portion of the supply of water available to
the residents of Carlsbad during that period in order that the line
may be placed out of service for a period of approximately 2 weeks.
It is necessary that all shareholders cooperate and that only domes-
tic water be used during that period.
R. R, Robinson moved, seconded, by; W. p. Rogers and carried unani-
mously:
54-64 BE IT RESOLVED that the Manager is hereby authorized and directed to make necessary arrangements to clean and cement line approximately 3,272 feet of main line between the Buena Vista Lagoon and Reservoir No.2; and
BE IT FUWHER RESOLVED that the Manager is directed and instructed to notify all the shareholders affected that there will be a limited amount of water available during the rehabilitation of the main' line, and that therefore they are urged to thoroughly* irrigate before the start of the work.

Nr. Swing stated that he would write the San Luis Rey Conservation
District to see whether they w-ere. interested. 3. Eberhard told
Hr. Swing that our Board would probably assume 25% of the expense
involved. Xr. Swing said Fallbrook would do better than that, The,

money SOOB. Mr. Eberhard feels that we should not file the suit
for adjadication until the survey is made, if we are going to have
it made.

BE IT FURTKEB RESOLVED that the Board is in favor of going as high as 25$ of the natchin g funds to have the survey made.

The Board discussed the matter of bond insurance for

employees andmthe Hanager was instructed to check the poliey to
see whether it covered "mysterious disappearancet1 of funds. The

Unauthor- The Hanager then explained to the Board that the ised use of Water on office force has been checking the allocation of Dry Land water stock aBd the use of water with regard to Article
15 of the By-Laws of the Corporation, as' follows:
"No water shall be distributed or delivered to any shareholder until his shares shall have been located on, attached to, and made appurtenant to, the particular parcel of land upon which the water is !to be used, such location and attachment of
prescribed by these By-Laws and the Rules and Regulations of the compm, and shall be on the basis of one shaqe, of ang%lass, for eachoacre of such land, or fractional share to the corres- ponding fractional acre of land.
It was found that several accounts in the meter books have not
been checked since 1936. In the case of one shareholder, Donald
Briggs, the records indicate that there is a large area under
irrigation on which no water stock is appurtenant. This involves
approx3mately 25 to 30 acres of land. &. Briggs has that approxi-
mate amount of stock which is unassigned and subject to the payment
of the,South Oceanside release fee. Bds. Briggs is also using the
water in an area where there is a $70.00 inclusion fee. This means
that the doinpany is furnishing water to an area where the share-
holders have paid for the necessary facilities and have been paying
interest on such without collection of the necessary inclusioa
fees. The Board directed the Manager to write &. Donald Briggs
regarding the water he has been using, stating that the records

The HBanager reported that Dr. Carl Wilson*s reports Laboratory Reports are all goodsht that the County Bealtb Department had sent
us one which did not appear to be satfsfactory,
The %aMager reported that 183 final notices were sent Delinquent Assessments to delinquent shareholders on Assessment #47, and that many
had paid. Bowever, there are still 115 delinquent, and several
of these are large ones, The next regular payment is due the
middle of June, W. PB, Rogers moved, seconded by C, A. Anthony
and carried unanimously:

The Manager reported that Test %ell 503 is -20.5 feet Saa Luis Rey Wells below sea level, 'The chlorides are steadily going up and
were 277 ppm yesterday entering town. We are now using our two
new wells and the West; River Well.
The Nanager reported that there is a block our Lincoln Lincoln Street %treet without anp pipe line, A party wants to build a house
on this street and wgds a pipeline for mater. The Directors
stated that extension of the pipeline wou1d be subject to our
existing policies,- namely that the shareholder advance the entire

cost of the project and be refunded any money which might be
collected during the next five years from any one using the line.
Board The Idanager explained to the Board that there is improper Room ventilation in the Board Room, and that for approximately
$150. new windows could be placed in it which could be arranged to
allow adequate ventilation. W. W. Rogers suggested that the Xanager
investigate the possibilities of installing movable louvers h a
portion of the existing windows.
Dirty The &nager stated that we are getting a great many dirty Water water complaints.
Adjourned There being no further business, C, A, Anthony moved,
seconded by W, Qg. Rogers, that the meeting be adjourned

CARLSBAD MUTUAL WATER CONPANY, do hereby waive notice of the time,
place and purpose of the meeting of said Corporation herein provided
for, and do hereby consent and agree that a meeting thereof may be
held at the office of the CARLSBAD MtTTUAL WATER CO~PANY in the City
of Carlsbad, County of San Diego; State of California, on the' 25th
day of May, 1954.
