Special Pursuant to consent and waivert a special meeting of Meeting June 4, the Board of Directors of the Carlsbad mutual Rater 1954 Company was held in the office of the Coapany in the
City of Carlsbad, County of San Diego and State of California on
Friday, June 4, 1954, at 1O:OO A. Ide

Also present were C. E. Trygg, Secretary&Manager$ Attorney Brucg
Smith, Shareholder Yourell and Haribee Balcom, stenographer.
Yourell Attorney Bruce Smith presented a new form of contract Proposed Pipeline for pipeline agreements which Mr. Yourell desires in
place of the regular contract in use by the Carlsbad
Mutual Water Company. &. BruceOstated that Mr. Eberhard had
approved the wording of the new contract. A new paragraph 6 was
I added to the regular contract, Vi. W. Rogers suggested new wording for paragraph 7,
which changes Attorney Smith agreed to as follows: After the
words appearing ''pipe line herein described" that the following
quote be inserted:
Quote: 'Isaid charge to be based upon installation and construction charges of the pipeline herein provided for ," close quote.
R. R. Robinson moved, seconded by W. VI, Rogers and
carried unanimously:
54-69 BE IT RESOLVED that the proper officers are hereby authorized and directed to accept this form Qf contract as presented by and re-worded by Attorney Bruce Smith; and

BE IT FURTHER RESOLVED that the proper officers are hereby authorized and directed $q:,enter into such contract with E. C. Yourell, and upon receipt of the amount of money heretofore agreed upon, to purchase and install the neces- sary pipeline-. ,

dr. Crull, Oceanside City Engineer and Mr. Taylor, Superintendent
)f Streets of' Oceanside were then admitted to the rnee%ing.
Mr. Taylor took the floor and said that Oceanside L Our No.1 Reservoir, vas particularly anxious to improve Nesa Drive but that Oceanside
mr No. 1 Reservoir was kpparently involved. With a 60 foot
5ght of way, he said our fence was about 8 feet west of the center
Line of the street. They would like to work out some sort. of agree-
aent with us to get the fence back as far'as possible so they could
lake their improvements, but he said they did not want to jeopardfze
)ur reservoir. He suggested working it out with Mr. Trygg to see
LOW- close they could get, or whether or not it would be advisable
;o put in a retaining - ,. wall.
Ir. Trygg then stated that we were about 20 feet out in the right of
ray and that the earth supportihg the reservoir was near the fence.
io W. Rogers moved, seconded by R. R. Robinson and carried .unanimohsly:

BE IT RESOLVED that we cooperate with Oceanside in 54-70 the matter of our No. 1 reservoir, and that the Manager be and is hereby directed and authorized to expend the necessary funds for such work.

;hareholders Gibson and Cortright then entered the meeting. Gibson property k0 Gibson has a lot on Lincoln Street on which he' proposes on Lincoln

approximately 233 feet of 6 inch line, subject to partial repayment
within five years if other shareholders wished to be added- ta the
new line, as per our regular pipeline contract, n The Company would
run the line from Chestnut to Walnut, standing the expense for the
services already in and also the cost of the intersection, which
would leave the approximate 233 feet quoted to Mr. Gibson.
Mr. Gibson then took the floor and stated that he did not
wish to enter into a contract for long-time recovery. He is willing
to pay his portion of the cost of getting water but does not wish
to advmce the money to put water in front of other property than
his own. bb. Cortwright owns the lot directly across from Ur,
Gibson and feels the same way. They stated that they wanted water,
but not at that cost.
Mr. Trygg stated that a new pipeline would require 435 feet of pipe
costing more than $UOO,OO, of which we had asked &. Gibson to
put up $699, Three houses are served at present by the substandard
lines now in use and they need replacement, but funds for such re-
placement are not in this year’s budget.
R. 8. Robinson inquired whether the Company would put in the line
fur the three houses already served, and if Mr. Gibson would pay for
the frontage on his property.and a blow-off for the dead end,
whether that would interfere with the policy of the Company.
After some further discussion, 5. W. Rogers suggested that Nr. ’
Gibson go ahead and build his house with a temporary hookup from
his home on Garfield, which Mr. Gibson felt would take about six
months, and by that tine the next budget would come along and we
could provide fur replacement of the pipeline in use, Gibson to pay
only for his frontage and the blowoff,
Shareholders Gibson and,Cortwright then left the meeting.

at this time, The byyer would like the property released, After
some discussion, W, V. Rogers moved, seconded by C. A. Anthony and
carr3.ed wnimously:

BE IT FURTBBR i?JCSOLITED that p~le then write the Berkeley Bank for Cooperatives and request a re- conveyance if the Title Company finds that the Water Company had previously executed a deed; and
BE IT FURTHEE Xi3SOLVED that the proper officers of the Company are hereby authorized and directed to execute another deed if the same is necessary.
Mr. Trygg reported that everything necessary to Contract with make the connection with the Oceanside line is either Oceanside
here or.will be in by Nonday, the "th, so that we can go
ahead with the installation of the pipe. The proposed contract with
Oceanside has not beennreceived.
1. 8, Rogers brought up the matter of descrip- Water Stock tions of property furnished for water,stock transfers Transfers
when only part of the property is transferred. There has
been some discussion with the banks, and Director Rogers has talked
to all the local baas concerning the matter of property descrip-
tions. The Company now charges $2.50 for each certificate aBd the
bank furnishes the description of the property that 1s being trans-
ferred. The banks object to taking the responsibility for the
descriptions when they' cover only part of the property involved.
The Security Bank at, Carlsbad will not furnish descriptions on
partial transfers, although the Bank of America has been providag
them.

The Manager then reported that he had sent a letter to
all banks and title companies involved that the Hutual Water
Company will transfer stock for the $2.50 charge only if all
descriptions are received in writing. If there is additional
work involved, thepe will be an additional charge for the stack
transfer. At the present time it is hoped that the banks will
furnish everything to the Company in writing, but if not, the
owners will have to pay fur getting the legal description if they
sell only part of their property. This information is to be dis- seminated to all banks and all shareholders, San Lufs The anager reported that the San Luis Rey wells are Rey Wells
chlorides and>the water coming into town contains 284 ppm, Every-
one on Highland and east is getting lake water at the present time
and will be getting lake water until the 12th of June. This rms
around 340 ppm.
Delinquent The Xanager reported that four water services were BilLs
worse than ever. One well is pumping 489 ppm of
turned off for non-payment .>of bills.

There being no further business, R. R. Robinson mov'ed that the
