Special Pursuant to notice dated July 7, 1954, by authority Meeting July 9, of Article XI1 of the By-Laws of the Corporation, duly 19 54 signed by the Secretary and certified by him as to mail- ing or personal delivery not less than 36 hours before the time set for such meeting, a Special Ueeting of,. the Board of Directors of the Carlsbad Nutual Water Company was held in the office of the Company in the City. of Carlsbad, County of San Diego and State of California on July 9, 1954 at 1O:OO A. Me Directors E. G. Eagen C. H. Ingels B.'W. Rogers Present R, R. Robinson C . A. Anthony Also present were C. E. Trygg, Secretary-Manager, Gene Daley and Uaribee Balcom, stenographer. President Hagen declared the meeting open. Water President Hagen read a letter from the Manager, to which Trans- mission was attached a report showing water transmission costs costs for 1953 to be $39.65 per acre foot, Terramar President Hagen then stated that the Board sho.uld agree Water Conpany upon what formula we are going to use on which to base our costs to Terramar. Fishing Director Rogers presented Ddr, Daley who is interested in Calavera in having Calavera Lake open for fishing. .The Nawzer Lake stated that he had written the State Board of Health asking whether they would permit fishing. %r,Daley then-left. Terramar Concerning the matter of basing charges on transmission Tiater Company costs, it was brought out that this is a matter of (Cont 1 precedent, The Laesa, Lemon Grove & Spring Valley . .. -~. .D B - Irrigation District have a very similar arrangement, There are two or three charges involved in their matter, and one of them is trans- mission and another is the power charge. They arrive at projected costs for =the year and use that figure, Then at the end of the year, the real costs are used and charges qefigured. The Manager stated that the City of San Diego has a similar contract with the California Water & Telephone Company, and they pay aroqnd $12.00 per acre foot. President Hagen suggested that we might get Xr, Porter of Everts & Esenoff -to go over our ‘figures and see what he thinks would be fair to the Company shareholders and to Terramar, and make up a formula using such figures from the books as he deelgs advisable, Director Robinson stated that he felt it would be a very fair proposal if we charged a certain figure and then adjusted it at the end of the year according to the actual costs, The Manager inquired who would pay Mr. Porter. Director Robinson s-aid he felt that before we got through, we would have to have both a cost accountant and an outside engineer. Director Ingels stated that if this was a private conpany, there would be a higher rate- on each of the items than now exists, because the Mutual is run as a non-profit orgaqization, Director Rogers moved, seconded by R. R, Robinson and carried unanimous ly : BE IT HESOLVED that the President is hereby instructed 54-79 to write the Carlsbad Uunicipal Water District to the effect that it is the consensus of opinion of the Board that Terramar IQater Cornpany be asked to put up $l5OO,OO to cover their share of the extra installations, and the cost of investigation of the formula for the cost of trans- mitting water, such formula to be arrived at by our cost accountant and our engineer; and BE IT JTRTHEGR RESOLVED that during the interval, the Mutual will transport water for Terramar at the rate of $25.00 per acre foot. Applications for the.transfer and allotment of stock Stock Trans. 39 were presented and approved by the Board as follows: Thacher An application from A, Hal and Nargie G. Thacher for Netcalfe share to be assigned to 3265 Highland; and the trans- and fer of .500 share to Thomas Hughes to be assigned to Hughes 3307 Highland, such-stock being represented by 1.000 to the transfer to John W. & Lucio 0. Netcalfe of .500 share under Certificate #9794. Subject ,to South Oceanside release fee, Br.Hoskins An application from Dr. Hoskins for transfer of one Rogers and as follows: .500 to be assigned to his property at Tarry 1148 Las Flores and .500 to be UNASSIGNED; and an application to transfer 5.000 shares covered by Cert. #6415 to George W. Tarry, with W. W. Rogers as Attorney in Fact, UNASSIGNED. Boeh these certificates subject to South Oceanside release fee. to share covered by Lost Certificate #6026 to W. W, Rogers New The Xknager stated that there is a strong posslbility @ell that the Company will have to drill another well, as the present wells are deteriorating rapidly, Shareholders The Nanager also reported that several shareholders ask Water Contracts have been in the office, wanting a contract similar to the one now being arranged with ViT, D.
