General Counsel called the Board's attention to the fact that the District has no control over the Xutual or over what they will charge for the use of their facilities. Upon IJot-ion by Director Ewald, seconded- by Director Zahler and- unanimously ea-rried by a voice vote, it was ordered that a copy of the letter from Terramar be sent to the Carlshd IGutual Water Company oith the recomzend2~tion that in the in- terests of harmony the b;utual Board take into consideration the f2.ct that we have just gotten partial harmony here vith the two water elections and the City election. Considering the small amount of money involved-, the Fhnicipal Board would like to see lerrarrlar ?later Company 2nd the Xutual Board settle the problem. The Nunicipal Boa-rd. ogposes the spending of ,;1530 for hiring outside arbitrators, but urges that a speedy conclusion be reached in this n~atter. rn ?resid-ent Fry then asked Directors Zwald and Kelly to attend the Board meeting of the Carlsbad Xutual Ka.ter Company -1- to be held July 20, 195.4, at which time action will be taken on the letter from Terramar dated July 15, 1954. San Diego Letter was read from Boundary Committee of the Boundayy or" North Carlsbad to the City of Oceanside. There are two indeDendent water compmies between Vista and San Karcos that would be interested- in a pipeline in that vicinity. In the meantime, Rancho Santa Fe has called a meeting of all in- terested pa-rties to be held Thu.rsd.ay, July 29th at the Carlsbsd Hotel. Director Kelly stated- he feels ve should do some work on reservoir sites, He thinks there will be no big ones available. General Counsel stated that he felt that the best reservoir sites will be those where we can trade wat er with the City of San Diego. There might be some existing reservoir sites that could be condemned, which would- probably be the cheapest way out. After further discussion, UPON XWIGN by Director Zwald, seconded by Director Kelly and carried unanimously by voice vote, it wa.s ordered that 5lr.Tq-gg be paid as Bxecutive Secretary on the same basis as the Directors, and that the engineering end of the problem be carried. over until later on. Attorney General Counsel inquired whether his services should Fees be on an hourly basis or on a retainer fee for his services since the formation. The Directors agreed t3at they desired a retainer basis. Counsel should attend- all Board meetings and occasionally there may be a Committee meeting where he is needed.
