Ms. iyoqd stated that the current book value of the Company assets in that area, exclusive of transnission mains, is $90,157.15, The disposition of <he s*tock Is something that will. require. future study. He said that he had written Mr. Eberhard about the matter but has no? had time to receive an answer frorc hin. Director Rogers said that he 'had thought the residents of North Carlsbad might turn in their stock for the faci.Pities. Another solution, he said, would be to offer to sell what we have there, except the necessary trunk lines. Of course we would sell. to th&m at $200 a share, payable so mch per year. Director Anthony said he had talked to Fay Smith, a North Carlsbad resident, who asked whether we would take their stock in payment for the lines. If the North 2arlsbad system is transferred to Oceanside, we are going to Lose the sale of some 200 or 30G acre feet of water and there ;hould be some remuneration for that. He suggested that they )e told that we would sell, the facilities on the instaLlment pian .o anyone qualified to buy them. Whether 'lnleese would agree to ,uch a deal, Director Rogers said he did not know as he would lave to make alterations later. The City of Oceanside would be i qualified buyer. Director Robinson said that if there were 220 shares in orth Carlsbad, the facilities on the basis of $200 a share ouPd sell for $44,000 which would probably be as well as we an do even though the book value of these facilities is $95,000, 3. 4 reservoir would be of no value to the Company. Director Rogers said that the question is whether the Dard of Directors would be permitted to sell these facilities. > said Mr. Eberhard should be asked for a written opinion on lis, The Directors agreed that the Manager shoi;ld go to the ?eting, and also Mr. Ingels if possible. Director Brilhart then entered the meeting. Offer to The Directors discussed the offer of the City of Purchase ;?r'!utuaL CarEsbaci to purchase the Carlsbad Mutual Water Company for $200 a share on a long term payment basis without interest. 3Frector Robinson stated that Attorney T. Bruce Smith feels that there would have to be an election in order for the P' ,lLy 2- to purchase such a large property. Sirector Rogers said that if the shareholders agreed to se? another election would be a waste of time and money. President IngeLs stated that the Company had been offered for sale and that it would be necessary to hold the mattes open until December 15th in order to receive bids. Director Rogers said that Attorney T. Bruce Smith v\rould no' be qualified to represent both sides in the proposed purchase 0 the Mutual by the City, and suggested that an opinion be obtain from Attorney Eberhard immediately, The Manager reported that Eberhard had already received a copy of the "Offer to Purcnase.
