KSL Capital Partners II Supplemental GP, LLC.
3. Number of Directors.
FURTHER RESOLVED, that the Board shall consist of three members and the Board
hereby approves, ratifies, confirms and adopts, by and on behalf of the Corporation, the previous
election by the Company Board of Michael S. Shanmm, Eric C. Resnick and Bernard Siegel as
the Directors of the Corporation to serve in accordance with the Bylaws of the Corporation until
their successors are elected and qualified or until their earlier resignation or removal.
4. Election of Officers.
WHEREAS, it is deemed to be in the best interest of the Corporation to elect officers to
be in charge of the day-to-day operations of the Corporation.
NOW, THEREFORE, BE IT RESOLVED, that the Board hereby duly
elects and appoints the following individuals and that they are elected to the office
or offices of the Corporation set forth next to each name below, and that each
individual shall serve at the pleasure of the Board:

attached hereto as Exhibit D is hereby approved and adopted as the form of stock
certificate of the Corporation.
6. Issuance of Shares of Common Stock.
WHEREAS, the Corporation is authorized in its Certificate of Incorporation to issue
three thousand (3,000) shares of capital stock, with par value $0.01 per share ("Common
Stock"); and
WHEREAS, in connection with and in order to effect the Conversion, the Company
Board authorized and directed the Corporation to issue one hundred (100) shares of Common
Stock to LC Holdings Trust, a Maryland business trust (the "Trust"), in order to effect the
automatic conversion of all of its one hundred (1 00) units of beneficial ownership of the
Company ("Units"), and it is deemed to be in the best interest of the Corporation that such shares
of Common Stock hereby be issued to the Trust.

UNANIMOUS WRITTEN CONSENT
OF THE ORGANIZATIONAL MEETING OF
THE BOARD OF DIRECTORS
OF
LC INVESTMENT 2010, INC.
The undersigned, being the duly elected members of the Board of Directors (the "Board")
ofLC Investment 2010, Inc., a Delaware corporation (the "Corporation"), do hereby adopt the
following resolutions by written consent, in accordance with the provisions of Sections 108 and
141(f) of the Delaware General Corporation Law, on the 19th day of April, 2010:
1. Conversion; Incorporation.
WHEREAS, prior to the Conversion (as defined below), the Corporation was a limited
liability company organized under the laws of the State of Delaware and managed by a board of
directors (the "Company Board") comprised ofthe same individuals constituting the Board;
WHEREAS, the Corporation has been converted from a limited liability company
organized under the laws of the State of Delaware into a Delaware corporation; and
WHEREAS, the Company Board previously approved various actions and the Board
deems it advisable and in the best interests of the Corporation and its stockholders to confirm,
ratify, adopt and approve such actions by and on behalf of the Corporation.
NOW, THEREFORE, BE IT RESOLVED, that each ofthe Certificate of
Conversion, a copy of which is attached hereto as Exhibit A, and the Certificate of
Incorporation of the Corporation, a copy of which is attached hereto as Exhibit B, filed in
the office of the Secretary of State of the State of Delaware on April 19, 2010, is hereby
approved, ratified, confirmed and adopted by and on behalf of the Corporation;
FURTHER RESOLVED, that all ofthe actions taken by the incorporator and
the officers and directors of Fillmore LC Investment, LLC (the "Company") and the
Corporation to effect the conversion and incorporation of the Corporation in the State of
Delaware (the "Conversion") are hereby approved, ratified, confirmed and adopted by
and on behalf of the Corporation;
2. Adoption of Bylaws.
FURTHER RESOLVED, that the Bylaws for the regulation of the affairs of the
Corporation, in the form approved by the Company Board in connection with the approval of the
Conversion and attached hereto as Exhibit C, are hereby confirmed, ratified, adopted and
approved, by and on behalf of the Corporation, as the By laws of the Corporation and shall be
filed with the minutes of the Corporation; and

NOW, THEREFORE, BE IT RESOLVED, that the Board hereby
confirms, by and on behalf of the Corporation, that in connection with the
Conversion, that the Corporation is hereby authorized to issue one hundred ( 1 00)
shares of Common Stock to the Trust, which shall be the sole stockholder ofthe
Corporation following such issuance, in order to document the automatic
conversion of all ofthe Trust's one hundred (100) Units ofthe Company; and
RESOLVED FURTHER, that the proper officers ofthe Corporation are
hereby authorized and instructed to issue such shares of Common Stock of the
Corporation to such person in the manner specified by these resolutions and that
such shares, when issued as provided herein, shall be fully paid and
nonassessable.
7. Adoption of Fiscal Year.
WHEREAS, it is deemed to be in the best interest of the Corporation to adopt a fiscal
year for tax and accounting purposes.
NOW, THEREFORE, BE IT RESOLVED, that the fiscal year of the
Corporation shall be the 12 month period ending December 31st of each year; and
RESOLVED FURTHER, that the officers are hereby authorized and
directed to take all necessary steps and to cause all necessary and appropriate
forms to be filed with the appropriate governmental agencies to reflect the
foregoing selection of fiscal year.
8. Designation of Principal Office.
WHEREAS, it is in the best interest of the Corporation to designate a principal office for
transacting the business of the Corporation.
NOW, THEREFORE, BE IT RESOLVED, that the following address is
hereby designated as the address of the principal office of the Corporation:

9. Designation of Depositories.
WHEREAS, it is deemed to be in the best interest of the Corporation to provide for a
depository for the funds of the Corporation and to authorize certain officers to deal with the
corporate funds.
NOW, THEREFORE, BE IT RESOLVED, that a depository for funds
of the Corporation which may, from time to time, be placed in such account or
accounts as the President, any Vice President, the Treasurer or the Secretary may
from time to time determine should be established for the Corporation;

RESOLVED FURTHER, that the President, any Vice President, the
Treasurer or the Secretary are hereby authorized and directed, in connection with
the establishment of any accounts, to perform any and all acts that they may deem
necessary or advisable, and to deliver all requisite papers, signature cards,
resolutions and the like; and the execution by such officers of any such items or
the doing by them of any such act in connection with the establishment of such
accounts shall conclusively establish their authority therefor and the Corporation's
approval and ratification thereof;
RESOLVED FURTHER, that, without limiting the generality of the
power conferred by the foregoing resolution, the Board hereby adopts each and
every special resolution in the form prescribed by the bank, which it shall deem
necessary or desirable to authorize the establishment of such accounts as the
above officers may from time to time determine should be established, and the
officers of the Corporation are hereby authorized to execute and deliver
certificates of the adoption of such resolutions as though they were specifically
adopted by the Board; and
RESOLVED FURTHER, that the standard form banking resolutions,
loan documents, guarantees and other applicable documents customarily required
by any such financial institutions are hereby adopted without the necessity of
further action by the Board at the time such arrangements are established, it being
intended that these resolutions constitute specific board authorization, approval
and adoption of all such arrangements at the time such arrangements are
established.
10. Authorization to Obtain all Necessarv Licenses, Permits and Approval to Conduct
Business.
WHEREAS, there may be a number of licenses, permits and approvals that the
Corporation is required to obtain before it has necessary authority for the lawful conduct of its
business.
NOW, THEREFORE, BE IT RESOLVED, that each and every officer
of the Corporation is hereby authorized and directed to take all necessary or
advisable steps to cause the Corporation to become lawfully empowered to
conduct its business as set forth in the Certificate of Incorporation; and
RESOLVED FURTHER, that, without limiting the generality of the
foregoing, any such officer is hereby specifically authorized and directed to cause
all necessary applications, fees, bonds and other papers, documents and
information to be obtained, prepared and filed to obtain all permits and licenses
necessary or appropriate for the conduct of the Corporation's business, and to take
all further steps that may be appropriate to obtain necessary licenses of authority.

11. Corporate Compliance.
RESOLVED, that the officers of the Corporation are hereby authorized
and directed to take any and all actions they shall deem necessary or appropriate
to insure the good standing status of the Corporation under the laws of the State of
Delaware.
12. Qualification to do Business as Foreign Corporation.
WHEREAS, the Corporation desires to transact business in other states.
NOW, THEREFORE, BE IT RESOLVED, that the Corporation shall
qualify itself to transact business in any other state and thereby subject itself to the
laws applicable to foreign corporations in those states; and
RESOLVED FURTHER, that the President, any Vice President and the
Secretary, or any other designated officer of the Corporation, be and hereby is,
authorized, directed and empowered to prepare, execute and file with the
appropriate governmental agency any applications, documents or statements
necessary to accomplish such qualification, including the payment of required
fees and the prepayment of any taxes.
13. General Authorization.
RESOLVED, that in addition to the specific authorizations set forth in
any of the foregoing resolutions, the proper officers of the Corporation be, and
they hereby are, authorized to take from time to time any and all such action and
to execute and deliver from time to time any and all such instruments, requests,
receipts, notes, applications, reports, certificates and other documents as may be
necessary or advisable in their opinion, or in the opinion of any of them, to
effectuate, consummate and comply with the purpose and intent of any of the
foregoing resolutions; and
RESOLVED FURTHER, that all actions heretofore taken by or at the
direction of any officer of the Corporation in connection with any matter referred
to in any of the foregoing resolutions are hereby approved, ratified and confirmed
in all respects as fully as if such actions had been presented to the Board of

Project Description I Explanation
The La Costa Resort and Spa proposes to renovate the south golf course within a portion of Lot 1 of Map
14984, Parcel A of Parcel 1. The project proposes grading and renovation to fairways, green, tees and
bunkers. A majority of the south course renovation improvements are within the Federal Emergency
Management Agency (FEMA) Special Flood Hazard Area Zone A (FIRM Panel No. 6073C-1035G and 6073C-
1 055G). Zone A identifies areas that are prone to inundation by a 1 00-year flood event (that is, a flood event
with a one percent annual chance of occurring). Due to the project's location within the mapped floodplain, KSL
is submitting this application for a Floodplain Special Use Permit.

project application is deemed complete by the City. The City has 30 calendar days from the date of
application submittal to determine whether an application is complete or incomplete. Within 30 days of
submittal of this application you will receive a letter stating whether this application is complete or
incomplete. If it is incomplete, the letter will state what is needed to make this application complete.
When the application is complete, the processing period will start upon the date of the completion letter.

This early public notice is to let you know that a development application to renovate the
south golf course at La Costa Resort & Spa within your neighborhood was submitted to
the City of Carlsbad on October 11, 2012. The project application is undergoing its
initial review by the City.
LOCATION: La Costa Resort & Spa South Golf Course
PROJECT DESCRIPTION: The applicant is requesting approval of a Special Use
Permit to grade in the floodplain for modifications proposed to the south golf course of
La Costa Resort & Spa. Specifically, several of the greens will be increased in size,
bunkers will be shifted and re-contoured, and tees will be lengthened and rotated.
Please keep in mind that this is an early public notice and that the project design could
change as a result of further staff and public review. A future public hearing notice will
be mailed to you when this project is scheduled for public hearing before the Planning
Commission.

The engineering department has completed its review of the project. The engineering
department is recommending that the project be approved, subject to the following conditions:
Engineering Conditions
NOTE: Unless specifically stated in the condition; all of the following conditions, upon the
approval of this proposed development, must be met prior to approval of a grading permit.
General
1. Prior to hauling dirt or construction materials to or from any proposed construction site
within this project, developer shall apply for and obtain approval from, the city engineer
for the proposed haul route.
Fees/ Agreements
13. Developer shall cause property owner to execute and submit to the city engineer for
recordation the city's standard form Drainage Hold Harmless Agreement.
Grading
27. Based upon a review of the proposed grading and the grading quantities shown on the
site plan, a grading permit for this project is required. Developer shall prepare and
submit plans and technical studies/reports for city engineer review, post security and
pay all applicable grading plan review and permit fees per the city's latest fee schedule.
XX. In addition to estimated volumes of cut and fill, the grading plan shall show estimated
volumes and/or area quantities of materials (soil amendments, bunker sand, turf,
etc.) to be imported and/or exported from the site.

32. Developer shall comply with the city's Stormwater Regulations, latest version, and shall
implement best management practices at all times. Best management practices include
but are not limited to pollution control practices or devices, erosion control to prevent
silt runoff during construction, general housekeeping practices, pollution prevention
and educational practices, maintenance procedures, and other management practices
or devices to prevent or reduce the discharge of pollutants to stormwater, receiving
water or stormwater conveyance system to the maximum extent practicable. Developer
shall notify prospective owners and tenants of the above requirements.
33. Developer shall submit to the city engineer receipt of a Notice of Intent from the State
Water Resources Control Board.
34. Developer shall submit for city approval a Tier 3 Storm Water Pollution Prevention Plan
(TIER 3 SWPPP). The TIER 3 SWPPP shall comply with current requirements and
provisions established by the San Diego Regional Water Quality Control Board and City
of Carlsbad Requirements. The TIER 3 SWPPP shall identify and incorporate measure to
reduce storm water pollutant runoff during construction of the project to the maximum
extent practicable. Developer shall pay all applicable SWPPP plan review and inspection
fees per the city's latest fee schedule.
38. Developer is responsible to ensure that all final design plans (grading plans, landscape
plans, etc.) incorporate all source control, site design, and Low Impact Design (LID)
facilities.
39. Developer shall incorporate measures with this project to comply with Standard
Stormwater Requirements per the city's Standard Urban Stormwater Management Plan
(SUSMP). These measures include, but are not limited to: 1) reducing the use of new
impervious surfaces (e.g.: pavingL 2) designing drainage from impervious surfaces to
discharge over pervious areas (e.g.: turf, landscape areasL 3) and designing trash
enclosures to avoid contact with storm runoff, all to the satisfaction of the city engineer.
XX. A registered professional engineer shall submit technical studies and certification
demonstrating that the proposed grading and improvements will not result in any
increase in flood levels during the occurrence of the base flood discharge to the
satisfaction of the city engineer.
69. The developer shall submit evidence of approval from the Leucadia Wastewater
District regarding grading within Leucadia Wastewater easements to the satisfaction
of the city engineer.

Project Effects on Floodplain of San Marcos Creek

This letter report briefly summarizes the effects the proposed south golf course renovations at the La
Costa Resort in Carlsbad, California will have on the floodplain of San Marcos Creek through the resort
property. In short, the earthwork analysis demonstrates that the proposed re-grading and renovation of
the existing south course will not adversely affect the hydraulic capacity of the existing creek and
mapped floodplain.
Existing Flood Hazard Mapping
The Federal Emergency Management Agency (FEMA) currently classifies a majority of the project area
as within Special Flood Hazard Area Zone A (FIRM Panel No. 6073C-1035G and 6073C-1055G).
Zone A identifies areas that are prone to inundation by a 1 00-year flood event (that is, a flood event
with a one percent annual chance of occurring).
This study analyzes the earthwork (i.e. dirt movement) within the mapped Zone A area to verify a net
zero effect of the hydraulic capacity of the existing Creek and floodplain.
Scope of Project
The south course renovation will disturb the mapped Zone A floodplain geometry of San Marcos Creek
through a portion of Lot 1 of Map 14984, Parcel A of Parcel 1. The project proposes grading and
renovation to fairways, green, tees and bunkers.
Methodology
While, the overall scope of work to be completed within the floodplain will alter the floodplain geometry,
the overall capacity will not be negatively impacted. To demonstrate this, the existing and proposed
grading conditions were modeled using AutoCAD Civil 3D. The proposed grading was altered in such
a way as to balance the dirt movement within the floodplain. The grading associated with the
improvements within 100-year floodplain have been balanced for a 5,000 CY of cut and 5,000 CY of fill.
For your reference, the cut/fill maps have been attached to this letter.
Conclusions
The re-grading and renovation operations proposed for the La Costa Resort and Spa South Course will
not adversely affect the hydraulic capacity of the existing creek and associated floodplain. While this
report does not provide HEC-1 and HEC-2 computer calculations, the cut/fill map clearly shows a net
effect of zero.

La Costa Resort South Course Maintenance and Renovation
The La Costa Resort South Course Maintenance and Renovation Project intends to
renovate the South Course to bring the course to current industry standards. With
advancements in club technology and increased skill level of players, the South Course
has become outdated. All the tasks to be performed as part of the project are typically
routine maintenance activities completed over a prolonged period; the project proposes
to perform all activities at one time.
The work to be performed is as follows:
The greens will be replaced in the same approximate location, but increased in size and
enhanced with improved materials and grass type. This work will give players a better
putting surface and larger areas in which to hit.
The bunkers on the course will be shifted and rebuilt to create more shot value for the
golfer. The overall amount of bunkers on the South Course will be reduced to increase
ease of play for most and yet still provide a challenge for the expert. The improved ball
and club technology allows the shot to travel much further than it did 30 years ago and
therefore bunkers that are no longer in play will be removed.
The tees are remaining in the same approximate location but will be lengthened and
rotated to provide different and more interesting tee shots than currently exist. A
forward tee will be added to create an executive golf course within the existing course
which gives the novice golfer an opportunity to learn the game and offer an option for a
quicker round of golf for all users. Most of the existing tees are too small for the amount
of golf that is being played. This proposed work will level and place the tees in more
strategic locations.
The results of this renovation will be new and more playable surfaces that provide
interest to the player as well as compliment the Champions course with a much more
user friendly Resort course.

1. Provide additional exhibits, cross sections and or calculations to support the conclusions
stated in the RBF letter of October 11, 2012. The cut/fill exhibits submitted do not clearly
show a net effect of zero regarding the hydraulic capacity of the creek or the floodplain.
Cross-sections have been provided to further illustrate a net zero effect of the
grading impacts within the floodplain. See Attachment B of this application.
2. Provide additional design information for work with the CMWD easement shown on
sheets 6 and 9. A profile of the proposed and existing ground along the water line
alignment(s) is provided. See Attachment C of this application. We were unable
to locate the water line as-built(s), but as you can see in the profile there is
minimal grading occurring above the utility. The as-bui/ts we did find are included
in Attachment C.
3. Remove the City of Carlsbad Engineering Department from the SUP exhibit. The City
of Carlsbad Engineering Department reference has been removed from the SUP
exhibit.

Thank you for applying for Land Use Permits in the City of Carlsbad. The Planning Division has
reviewed your Special Use Permit, application no. SUP 12-01, as to the completeness for
processing.
The application is incomplete, as submitted. Attached are two lists. The first list is information
which must be submitted to complete your application. The second list is project issues of
concern to staff. In order to expedite the processing of your application, the "incomplete"
items and your response to the project issues of concern to Staff must be submitted directly to
your staff planner; therefore, please contact your staff planner directly to schedule a re-
submittal appointment. As part of your re-submittal package, please prepare and include with
your re-submittal: (1) a copy of these lists, (2) a detailed letter summarizing how all identified
incomplete items and/or project issues have been addressed; and (3) five (5) sets of revised
plans. No processing of your application can occur until the application is determined to be
complete.
When all required materials are submitted, the City has 30 days to make a determination of
completeness. If the application is determined to be complete, processing for a decision on the
application will be initiated. In addition, please note that you have six months from the date
the application was initially filed, October 11, 2012, to either resubmit the application or
submit the required information. Failure to resubmit the application or to submit the materials
necessary to determine your application complete shall be deemed to constitute withdrawal of
the application. If an application is withdrawn or deemed withdrawn, a new application must
be submitted.

LIST OF ITEMS NEEDED
TO COMPLETE THE APPLICATION
Planning:
1. As discussed on the site visit, please submit a detailed project description describing the
modifications to each hole and a general summary as to why the changes are being
proposed. This information will be utilized for the staff report.
2. Please submit verification that Mr. Steve Auckland is authorized to sign on behalf of KSL
LC Management 2010, LLC. If this is not the case, please provide an authorization letter
from an officer of the Board that Mr. Auckland is authorized to represent KSL.
Alternatively, please have an authorized representative of KSL sign the application.
3. Please have the property owner sign the application acknowledging that a Notice of
Restriction will be recorded on title for this project.
4. Revise the cover page to note that the proposed project is located within Planning Area 7
of the La Costa Resort and Spa Master Plan, MB 03-02(B).
5. Please add the project number, SUP 12-01, to the upper right-hand corner of the plans.
6. Please submit the Early Public Notice Package. Please be advised that a sign is required to
be posted onsite for the proposed project. In addition, mailing labels {600 foot radius
from all property lines in which development is proposed) are required. Staff will be
emailing you a draft of the sign to take to one of the recommended sign companies.
Please see the Early Public Notice package (Form P-21) for additional details.
7. Please label the location of any ponds throughout the golf course on the project plans.
8. Please indicate whether any trees are proposed to be removed. If any trees are proposed
to be removed, please note the type and location on the plans.
9. Please indicate if the grading will be occurring on slopes greater than 10 percent.
