'G s;., rOXl!JhTY RECORDER SAN DIEGO GAS & ELECTRIC COMPANY, a corporation, hereinafter called t4- "Grantor"! for a valuable consideration, does hereby grant to the CITY OF CARL81 a municipal corporation, in the County of San Diego, State of California, hereiv called the "Grantee", an easement and right of way for a twelve inch water main, incidentals thereto, through, overy under and across the Grantor's land situate the City of Carlsbad, County of San Diego, State of California, and more partic1 described as follows: That certain strips of land 20.00 feet in width,&ough, over, under and across that portion of Lot "H" of Rancho Aqua Hedionda, in the City of Carlsbad, County of San Diego, State of California, according to Partition Map thereof No. 823, filed in the office of the County Recorder of said County of San Diego November 16, 1896, conveyed to San Diego Gas & Electric Company, a corporation, by Deed recorded January 21, 1953 in Book 4722, page 350 of Official Records of said County of San Diego, said strip of land 20.00 feet in width, being 10.00 feet measured at right angles, on each side of the following described center line: parallel with and distant 2000 feet at right angles Southerly from the Southerly line of Block "V" of Palisades No. 2, according to the Map thereof No. 1803, filed in the office of the County Recorder of San Diego County, August 25, 1924, the bearing of which parallel line and its Westerly prolongation thereof is recorded as North 72O 25' East on said Map of said Palisades No. 2, with the Westerly line of the right of way of the Atchison Topeka and Santa Fe Railway Company, as said right of way was established on September 22, 1948; thence Southerly along said Wester line of the right of way of the Atchison Topeka and Santa Fe Railway Company, a distance of 2755.18 feet; thence parallel with a portion of the Southerly boundary of the Jacobsen land hereinafter described North 660 54' 10" East 50 feet to the center line of said Railway right of way; thence along said center line South 23O 06' East 60 feet to an angle point in the Southerly boundary of the land described in Quitclaim Deed from Paul Ecke et ux, to Grover C. Jacobsen et al, recorded April 29, 1948, as Document No. 43667, in Book 2778, page 341 of Official Records; thence along the Southerly boundary of said land so described, North 660 54' 10" East, 100.00 feet to the TRUE POINT OF BEGINNING of the center line herein described; thence from said TRUE POINT OF BEGINNING, North 23O 06' West parallel with said center line of the Atchison, Topeka and Santa Fe Railway Company's right of way, a distance of 878.00 feet. Said easement is shown for con- venience on Exhibit "A" attached hereto and made a part hereof. Commencing at the point of intersection of a line which is 0. ,' *. f ,. e 0 I. * .I .. , 0. ' : :I I ' :' Grantee, its successors, assigns, agents or contractors shall be responsible for any damage to Grantor's existing facilities occasioned by or arising from the construction of said water main within said Grantor's property and that the work in connection with the installation of said water main shall b done in a workmanlike manner. Grantee, its successorsI assigns, agents or contractors shall save harmless the Grantor herein,.its successors and assigns, from any and all damagc or claims for damages occasioned by or arising from said Grantee's use and occupancy of said easement and right of way herein granted. Grantor reserves unto itself, its successors and assigns, the right tc the subsurface, surface and airspace thereover, of the hereinbefore described e: ment and right of way, for the installation of such facilities as it shall now ( the future deem necessary, provided, however, that such reserved use rights sha: be exercised by the Grantor, its successors or assigns, in such a manner as to incompatible with the Grantee's water main installation. Grantee agrees that if for any reason said easement and right of way abandoned by Grantee for a continuous period of one (1) year, then all the righ herein granted shall revert to the Grantor, its successors or assigns, automati and without the necessity of re-entry or notice. The terms of this agreement are conditional upon the right of San Die & Electric 'om-pany to resume the exclusive use of the property hereinabove ref€ to whenever in the interests of its service to its patrons or consumers it shal appear necessary or desirable to do so, as provided by General Order No. 69-B c the Public Unilities Commission of the State of California.
