Motion by Board Member Chapin, seconded by Board Member Zupanski, to approve the minutes
as presented. Motion carried 5/0/1 {Becerra -recused)
REPORTS AND DISCUSSION ITEMS:
1. FINANCE REPORT
Recommendation: Receive an informational report regarding CTBID Funds and tourism in
Carlsbad, discuss and provide recommendations
Financial Update provided by Zach Korach, Finance Director
2. GOVERNANCE UPDATE
Recommendation: Receive a report regarding a potential alternate governance structure
including a proposed Management District Plan for the Carlsbad Tourism Business
Improvement District, discuss and provide recommendations.
Adopt a resolution approving the proposed Management District Plan
Adopt a resolution appropriating an additional $25,000 from reserve funds for special counsel
and consultant services to pursue the establishment of an alternate governance structure.
Motion by Board Member Rauch, seconded by Board Member Canepa, to adopt a resolution
approving as amended the proposed Management District Plan. Motion carried 6/0.
Motion by Board Member Canepa, seconded by Board Member Becerra, to adopt a
resolution approving appropriation of an additional $25,000 from reserve funds for special
counsel and consultant services to pursue the establishment of an alternative governance
structure. Motion carried 6/0.
3. CTBID ADVISORY BOARD MEETING CALENDAR
Recommendation: Adopt a resolution approving the proposed Carlsbad Tourism Business
Improvement District Advisory Board meeting calendar for FY2022-2023.

Motion by Board Member Chapin, seconded by Board Member Becerra, to approve the CTBID
Advisory Board Meeting Calendar for fiscal year 2022-23. Motion carried 6/0.
