Recommended Action
1. Adopt a resolution approving the Board's nomination and election of a Vice-Chair to the
Carlsbad Golf Lodging Business Improvement District (CGLBID) Advisory Board
Item Explanation
At its Jul. 7, 2021 meeting, the CG LBID Advisory Board elected Geoff Gray of the Park Hyatt
Aviara as Vice-Chair of the CG LBID Advisory Board for a two-year term which was set to expire
in July 2023. However, Mr. Gray left the Park Hyatt and the CGLBID Advisory Board in July of
2022. A replacement Vice-Chair has not been elected, since then. Therefore, the CGLBID
Advisory Board needs to elect a new Vice-Chair. It is suggested that the Vice-Chair serve a two-
year term.
Fiscal Impact
None
Environmental Impact
This action does not const itute a "project" wit hin the meaning of the California Environmental
Quality Act under California Public Resources Code Section 21065 in that it has no potential to
cause either a direct physical change in the environment, or a reasonably foreseeable indirect
physical change in the environment.

RESOLUTION OF THE ADVISORY BOARD OF THE CARLSBAD GOLF LODGING
BUSINESS IMPROVEMENT DISTRICT, ELECTING ITS VICE-CHAIR
EXHIBIT 1
WHEREAS, at its November 27, 2012 meeting, the Carlsbad City Council adopted
Ordinance No. CS-194 forming the Carlsbad Golf Lodging Business Improvement District
{CGLBID); and
WHEREAS, The Chair and Vice-Chair for the CGLBID serve in two-year terms; and
WHEREAS at its July 7, 2021 meeting, the CGLBID Advisory Board elected its Chair for a
two-year term; and
WHEREAS, at its July 7, 2021 meeting, the CGLBID Advisory Board elected its Vice-Chair
for a two-year term; and
WHEREAS, Vice-Chair's seat was vacated on July 5, 2022, so a new Vice-Chair needs to
be elected; and
WHEREAS, the Board conducted an election of officers at its January 11, 2023 meeting.
NOW, THEREFORE, BE IT RESOLVED by the Advisory Board of the Carlsbad Golf Lodging
Business Improvement District, as follows:
1. That the above recitations are true and correct.
2. The CGLBID Board hereby elects William Canepa to serve as Vice-Chair of t he CGLBID
Advisory Board for a term of two-years.

PASSED, APPROVED, AND ADOPTED at a regular m eeting of the Advisory Board of
the Carlsbad Golf Lodging Business Improvement District on the 11th day of January 2023, by
the following vote, to wit:

NAYS: None
ABSENT: Mason
ABSTAIN: None
